These Terms of Use (“Terms”) govern your use of the Metro Media Marketing, Inc. dba Northern Virginia Magazine’s (“NVM”, “we”, “us”, or “our”) [Northernvirginiamag.com/] website (“Northern Virginia Magazine Website”) and your relationship with NVM. These Terms also document our data protection policy and the rights of individuals with which NVM engages with respect to personal information.
Please read these Terms carefully as they affect your rights and liabilities under the law. You agree to these Terms if you use the Northern Virginia Magazine Website or in any way engage with or contact NVM. This includes, but is not limited: using, viewing, accessing or browsing the Northern Virginia Magazine Website; making a purchase on the Northern Virginia Magazine Website; engaging with or contacting NVM; using any services, website, tools, features, or applications provided by NVM; or contacting NVM via email, through the Northern Virginia Magazine Website, or by any other means (collectively “NVM Services”). Use of NVM Services and NVM Goods
We operate the Northern Virginia Magazine Website to assist you with understanding and providing NVM Goods and NVM Services and in communicating with us. NVM and its “Best of Nova” directory is not a referral service and does not recommend or endorse any particular professional. This website is provided for your personal use subject to these Terms.
Except where otherwise permitted in these Terms, you agree to the following restrictions:
- You must be 13 years of age or older to use, view, browse, or post anything on the Northern Virginia Magazine Website. By viewing the Northern Virginia Magazine Website, you certify that you are over 13 years old.
- You may not use the Northern Virginia Magazine Website, NVM Goods, or NVM Services to harm NVM or its employees or any other party.
- You may not disseminate any material that is unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable or breaching any laws.
- You may not transmit material that encourages conduct that constitutes a criminal offence or results in civil liability or otherwise breaches any applicable laws, regulations or code of practice.

- You may not attempt to reverse engineer, decrypt, disable, circumvent, or otherwise alter or interfere with NVM Goods or NVM Services or the security thereof.
- You may not use automatic processes such as, but not limited to robots, software, spiders, or scripts, or any manual processes to scrape content from NVM Goods, NVM Services, or the Northern Virginia Magazine Website.
- You may not use NVM Goods or NVM Services towards the development of any software or application or embedded in another website.
You will be responsible for losses and costs to NVM resulting from your breach of these provisions or any of these Terms.
By submitting information to NVM through the Northern Virginia Magazine Website or by any other means, you permit us to contact you in response to the information you provide. However, this does not create any obligation to provide you with any products or services.
Submission of Materials
Submit an Event
If you submit any information or material through our “Submit an Event” form or any other means (“Event Submission”), you are subject to all the Terms in addition to the following:
- By submitting an Event Submission, you are granting NVM a perpetual, royalty-free, transferable, sublicensable, non-exclusive, worldwide license to copy, display, reproduce, adapt, modify, and publish your Event Submission on the Northern Virginia Magazine Website or anywhere else, in NVM’s sole discretion.
- By submitting an Event Submission, you represent and warrant that you are authorized to provide NVM with the rights and authority to publish the Event Submission, and that the Event Submission and underlying event, do not violate any law, rules, or regulations, or infringe upon any individuals’ or entities’ rights, including but not limited to their intellectual property, privacy, or publicity rights. You further represent and warrant that the information and authority you provide NVM and the information in the Event Submission is truthful, accurate, and legal.
- NVM has the sole discretion whether or not to publish any Event Submission.
- You are responsible for the accuracy of the Event Submission and NVM will not be responsible for any errors or omissions should NVM decide to publish your Event Submission. If there are any errors in the Event Submission, NVM will make its best efforts to correct these.
- NVM has the sole discretion to remove any Event Submission which violates these Terms, is deceptive, misleading, inaccurate, immoral, illegal, obscene, offensive, fraudulent, harmful, defamatory, or in any other way may damage NVM’s reputation, or violates any law or regulation. If your Event Submission is removed for any of the reasons above, we reserve the right to refuse any future Event Submission.
Professional Profile
If you submit professional information (“Professional Profile”) for inclusion in our “Best of Nova” directories or are included in NVMs “Best of Nova” directories though other means, you are subject to all the Terms in addition to the following:
- By submitting a Professional Profile, you are granting NVM a perpetual, royalty-free, transferable, sublicensable, non-exclusive, worldwide license to copy, display, reproduce, adapt, modify, and publish your Professional Profile on the Northern Virginia Magazine Website’s “Best of Nova” directory, or anywhere else, in NVM’s sole discretion.
- By submitting a Professional Profile, you represent and warrant that you are authorized to provide NVM with the rights and authority to publish the Professional Profile and that the Professional Profile and underlying business, do not violate any law, rules, or regulations, or infringe upon any individuals’ or entities’ rights including but not limited to their intellectual property, privacy, or publicity rights. You further represent and warrant that the information and authority you provide NVM and the information in the Professional Profile is truthful, accurate, and legal.
- NVM has the sole discretion whether or not to publish any Professional Profile in the “Best of Nova” directory.
- You are responsible to for the accuracy of the Professional Profile and NVM will not be responsible for any errors or omissions should NVM decide to publish your Professional Profile in the “Best of Nova” directory. If there are any errors in the Professional Profile, NVM will make its best efforts to correct these.
- NVM has the sole discretion to remove any Professional Profile which violates these Terms, is deceptive, misleading, inaccurate, immoral, illegal, obscene, offensive, fraudulent, harmful, defamatory, or in any other way may damage NVM’s reputation, or violates any law or regulation. If your Professional Profile is removed for any of the reasons above, we reserve the right to refuse to publish at future Professional Profile.
Third-Party Links or Ads
By clicking on certain links or advertisements on the Northern Virginia Magazine Website, you may be transferred to another website owned by a different company. Please be aware that their data privacy practices may differ from these practiced by NVM. In that case you should consult the other websites’ privacy policies. NVM is not responsible for, and has no control over, information that is submitted to or collected by other companies or their websites or any purchases of goods or services made on the third-party websites.
Intellectual Property
All information incorporated within the Northern Virginia Magazine Website is owned or licensed by NVM. You may retrieve and display the content of the Northern Virginia Magazine Website on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a cloud or network), or print one copy of such content for your own personal, non-commercial use, provided you keep intact any and all copyright and proprietary notices. You may not otherwise reproduce, modify, copy, distribute, or use for commercial purposes any of the materials or content on the Northern Virginia Magazine Website without written permission from NVM.

Limitation of Liability
THE TOTAL AGGREGATE LIABILITY OF NVM AND ITS MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, CONTRACTORS, SUBCONTRACTORS, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “NVM PARTIES” AND EACH INDIVIDUALLY, AN “NVM PARTY”) ARISING OUT OF OR FROM, OR RELATING TO, THE POLICIES AND THIS AGREEMENT, REGARDLESS OF THE CIRCUMSTANCES OR NATURE OR TYPE OF CLAIM, INCLUDING WITHOUT LIMITATION CLAIMS ARISING FROM A PARTY’S NEGLIGENCE OR BREACH OF CONTRACT OR WARRANTY, OR RELATING TO OR ARISING FROM A GOVERNMENT OR REGULATORY ACTION, INVESTIGATION, ENFORCEMENT, OR FINE, SHALL NOT EXCEED THE AMOUNT OF THE FEES PAID BY YOU HEREUNDER DURING THE TERM DURING WHICH THE LIABILITY AROSE.
IN NO EVENT WILL ANY NVM PARTY BE LIABLE FOR THE INTERRUPTION OR LOSS OF BUSINESS, OR ANY LOST PROFITS, SAVINGS, REVENUE, BUSINESS, OR GOODWILL, OR ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL, EXEMPLARY, OR SIMILAR SUCH DAMAGES (WHETHER OR NOT SUCH DAMAGES WERE REASONABLY FORESEEN).
WHERE ANY LIABILITY HAS BEEN LIMITED IN THIS AGREEMENT, SUCH LIMITATION SHALL HAVE EFFECT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Warranty Disclaimer
EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE NORTHERN VIRGINIA MAGAZINE WEBSITE, NVM SERVICES, AND NVM GOODS ARE PROVIDED “AS-IS” AND “AS AVAILABLE” WITH NO OTHER WARRANTIES OR REPRESENTATIONS, AND WITH NO OBLIGATIONS OF REMEDY OTHER THAN THOSE SPECIFIED HEREIN. THE NVM PARTIES SPECIFICALLY DISCLAIM ALL OTHER WARRANTIES AND REPRESENTATIONS WITH RESPECT TO THE GOODS AND SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY, ORAL, WRITTEN, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO: (i) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY OF DATA, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM COURSE OF DEALING OR USAGE OF TRADE; AND (ii) ANY WARRANTY OR REPRESENTATION THAT THE SERVICES WILL BE FREE FROM ERROR OR UNINTERRUPTED, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY INTENDED RESULT.
Indemnification
You agree to indemnify, defend, and hold harmless NVM Parties from any and all claims, damages, obligations, liabilities, losses, costs, and expenses (including reasonable attorney’s fees and costs) arising out of, related to, or that may arise in connection with: (i) your violation of these Terms; (ii) your use of the Northern Virginia Magazine Website or any of the NVM Services or NVM Goods; (iii) content or information provided to you through use of the Northern Virginia Magazine Website or NVM Services; (iv) any actual or alleged breach of any representation, warranty, or covenant that you have made to us; (v) your violation of any third-party intellectual property rights, privacy rights, publicity rights, or any other rights; (vi) your violation of any applicable laws, rules, or omissions; (vii) you communications, interactions, or engagement with any job candidates or job posters; or (v) your acts or omissions.

Governing Law and Jurisdiction
All matters relating to the Northern Virginia Magazine Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction).
Arbitration
Any dispute or claim relating in any way to your use of the Northern Virginia Magazine Website will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.
There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow the terms of these Terms as a court would.
The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
YOU ALSO AGREE THAT YOU OR NVM MAY BRING SUIT IN COURT TO ENJOIN INFRINGEMENT OR OTHER MISUSE OF INTELLECTUAL PROPERTY RIGHTS.
Waiver And Severability
No waiver by NVM of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NVM to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
Entire Agreement
These Terms and our Privacy Policy constitute the sole and entire agreement between you and NVM with respect to the Northern Virginia Magazine Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Northern Virginia Magazine Website.
